甲、乙双方本着互利互惠、协商一致的原则，就甲方授权乙方代理销售甲方蓖麻杂交一代种，达成如下一致意见，并签订本合同，以共同遵守。

3、积极选拔、任命所辖区终端代理服务营销负责人，组织所辖区蓖麻子营销负责人员的业务技术培训。
4、乙方所辖区域,平均每年度最低完成销售种子数量5000公斤，否则，公司有权撤销乙方代理资格。
四、代理合同签定：
1、委托代理,以县为单位，第一年,交代理押金0万元。县级代理机构合同定货量5000公斤以上，区域代理按所辖县级个数依次累加。
2、非蓖麻主产区和新开发种植区县级代理推广数量,由甲,乙双方协商确定。
五、货款及产品发放：

七、合同终止：
1、乙方有下列行为者,甲方可终止合同。
（1）违反甲方公司管理制度，破坏公司品牌形象，给公司造成严重影响的。
（2）未认真履行授权销售范围内的本职工作，销售量低于合同标准50%，市场难以启动的。
（3）擅自窜货,或销售其他单位同类产品(另附约定),以及参与假冒伪劣种子经营的。
（4）未执行规定零售价格，擅自降价销售的。
（5）对外擅自泄露产品批发价格，影响甲方市场运作计划的。
2、因特殊情况，乙方提出申请,终止合同。甲方有偿收回乙方所有合格存货，合同终止。
八、本合同有效期N年，双方签字及定货标准完成后,合同生效。期满后,双方可续签合同。
