1. 如何与美国人做生意?

   先找律师,然后签约

   　　美国各公司的经理参加谈判，总是边上坐着律师，会计师，法律在商务活动中,重要。美国商人在做一笔生意,或一个项目,合作之前，都要先找律师咨询，以避免法律上的麻烦。

   中国的公司往往遇到官司或纠纷的时候,才去找律师。有的中国公司聘有法律顾问，但主要是养着他们,准备打官司用，很少让律师参加谈判或决策。

   　　美国是法制社会，经济生活的方方面面，千头万绪，都靠法律规范。法律能最大程度地预见到:将会发生什么，能帮助商人规避可能发生的问题和人为的风险。

   美国法律非常庞杂，浩若烟海，平均每个星期,联邦和各州新公布的法律文件,有上万页;联邦国会,每年要制定上千部法律。法律浩瀚，若非专业律师，一般人,掌握不了很多法律条款。

   专业美国律师，单靠脑袋,也容纳不了那么多法律内容，得靠电脑。法律完善、严格，事事有法可依，是好事。

   美国的公司，私人，不能不依靠律师。美国的律师机构帮助客户打官司，更多的,是咨询和中介工作。许多商务合作，都由美国专业律师机构担任中介撮合。大的律师机构,有成千上万家客户,为客户提供多方面的服务。比如，他们根据自己掌握的信息觉得:中国的某个项目适合他们的客户去做，他们就会提出建议。客户都比较相信美国律师机构。美国律师机构要想在工作上取得成效,赢得客户，要帮助客户把好法律关，要想方设法为客户提供更多的信息咨询服务,帮助客户争取利益;否则，他们会失掉客户。

   　　美国人性格直率，谈生意、定协议、签合同，都是“先小人，后君子”

   把丑话说在前头，把可能出现的问题,都想到，把双方的义务、权利、责任,尽可能细化,非常具体，一旦签了字,就得照章办事。美国人拟的合同、协议，常常是厚厚一本，事先,都要叫律师把关。

   中国公司签合同、协议，一,两张纸，五,六条条款。事后,发生扯皮，扯不清到底是谁的责任，合同约定得不具体，不规范。

   　　在美国，假如你草草签一个协议或合同，条文太粗，事前未做法律咨询，事后,很可能吃大亏,不知不觉地,会陷入一些官司里去。中国某部委一家大公司，花了1499万美元,在美国买了一块地，事前,没做法律咨询，只听一个中间人,吹得天花乱坠，结果,给了钱，要用地时，才知道:那是一块美国废地，被美国法律禁止使用。此时，那中间人早已携款,溜之大吉。

   　　还有一家公司，用几百万美元，在洛杉矶,买了家酒店，也是事先未做法律咨询，没有搞清-有无诉讼遗留问题。等到公司打算对酒楼重新装修，要原来租住里面的人-暂时搬走,这,时，才发现:酒楼住户中,有不少美国穷人、黑人，他们不愿搬，还联合起来,控告新业主歧视美国穷人，使投资公司陷入没完没了的诉讼中，酒店在长时间里,不能正常营业。

   　　在美国，律师的费用是很昂贵的，你占用律师一小时，一般,每小时得付二,三百美元，美国大律师,需要五,六百美元。

   律师费用很贵，你要在美国做生意，求发展，得求助于美国律师，得有人指点你:如何避免麻烦和风险，花点钱,是值得的。

   有人,在洛杉矶,买了家假日酒店，花了299多万美元，买下来,不到两个月,碰上加州地震，酒店的建筑,受了损害。他们聘过一家美国大律师机构的能干律师,作法律顾问，律师据理力争，使得美国保险公司全额赔偿损失，付给公司300多万美元,用以整修酒店。花了20万美元的律师费用，得了大头。公司用这300多万美元,对酒店进行整修后，酒店得到增值，评估达到1000万美元以上。

   　　找美国律师,要舍得花钱,找好律师。有的中资公司,找了律师,为了省事省钱，就在中国城,随便找一个美国律师-这里,有的律师专业素质差，上法庭,英语不过关，其作用可想而知。

   美国的大公司喜欢找大律师机构，花钱多一些，大律师机构专业素质强，有权威性，在法律界,有影响，法官对他们不敢等闲视之，大律师在经济、社会各界,都有影响，别人买他们的帐，他们能帮你办成事。有的美国大律师机构，在美国国会里,能施加很大影响，在国际上,享有盛誉，由这样的机构出面，容易得到合作伙伴的信任。

   　　芝加哥最大的贝克-麦肯塞（BAKER　＆　MCKENZIE）,是世界最大的律师机构，他们有1700百多名律师，在世界几十个国家,设有分支机构。美国的许多大公司,都是他们的客户。这样的美国律师机构服务好，有权威性。近些年来，这家事务所,在撮合中国美国商业、法律交往合作方面,做了大量工作。

   　　　

   杀价倾销,坑了自己

   　　在美国逛购物中心，感受。看到美国大商场里,“Made　in　China”（中国制造）的货,多，举目皆是。比如,旅游鞋，据说,占了美国市场的60％以上。中国产品越来越多地走向世界了。中国货,多是低价商品,油然而生感叹。不少中国商品,质量并不差,价格低得可怜

   比如，一双女式皮鞋，式样,质量好，标价:9美元。是“Made　in　China”！这种鞋,就是在中国国内卖,少说也得100多块钱人民币;在美国这么便宜-凭什么,旁边那些质量,款式差不多的,非中国制造的鞋子价格,高出几倍？

   　　中国产品,有质量不如人家的问题，没有创出自己的品牌，进入美国市场,晚，挤进去,已属不易，先以廉价优势,占领市场,是不得已而为之。中国外贸公司互相杀价,抢出口生意,是造成中国商品出口价格低的原因之一。

   　　在华盛顿州州经贸厅的一位官员坦言：“中国公司为争出口,杀价倾销太厉害。”比如，一双旅游鞋，本来,可以卖八美元，可你们的公司,你砍价,我杀价，三元,五元就卖了。美国人买了便宜货,还嘲笑你。而且，美国生产同类产品的公司，会联合控告美国的进口商违反“反倾销法”，中国公司的廉价生意,因此砸锅。美国的“反倾销法”规定:如果美国的进口商以低于公平价格进口外国商品，给本国企业造成损失，美国要对进口商增收反倾销税。因此，有的美国进口商不敢进口便宜货。

   　　在美国，公司不分内贸,外贸，只要有公司执照，谁都可以做外贸生意。在美国,是举国外贸。在任何公司,都有外贸权的美国，更容易发生杀价倾销吗？他们是怎么解决这一问题的呢？怎样维护外贸秩序的呢？

   　　同美国外贸部门的官员讨论这个问题，他们说，很简单，美国的公司,多是私人公司，他们唯一的利益,是差价利润，如果把价,杀得太低，无钱可赚，他们干吗？他们不需要争创汇指标，创汇,对他们毫无意义，他们只要利润。更重要的是，美国有严密的法规,维护外贸公平交易秩序。美国有反倾销法,有反过度竞争、不公平竞争的若干法律。谁触犯了美国法律，谁就会受惩罚，上“黑榜”，得不偿失，信誉受损，因此，一般正牌的美国公司,都不敢这样做。美国有行业协会组织，行业自律机制,也比较完善。比如，美国哪家制造商,以低于同行业的公平价格,出售产品，使行业内其他公司受损失，其他公司,就会群起而攻之，行业协会组织,就会惩罚违规的公司，包括,取消会员资格,直至向美国法庭起诉。在美国，商人如不能取得行业协会的承认，很难在本行业立足。一般的公司不敢乱来。美国依法管外贸，乱子少。

   　　　

   　　赴美国招商团,来回 15天时间，最多,每人花3000,4000美元。在纽约,住18美元一晚的住宿费。

   　　　

   在美国开公司

   　　眼下,越来越多的中国人,到美国去开公司，把一部分财产,转移到国外，脚踏大洋两岸,做生意。

   　　中国人到海外去办公司，赚洋人的钱，利用国外的先进技术、信息和资本，谋求在海外发展，这显示了中国人向海外拓展的精神。当有数以百万、千万计的中国人,向海外发展的时候，中国的富强,指日可待了。

   　　许多人想去美国开公司，他们不知道:需要些什么途径。

   　　在美国申请办公司，是一件非常简单的事情。外国人在美国开公司，很容易，不要有绿卡,能办公司，你不去美国,只委托律师,就可以给你办一家公司。有的州,办个公司,只需要交几百美元的登记费，另外,付一定的律师费用和会计师费用。美国律师可以帮你办完-全部登记手续，会计师为你-开银行帐号,报税。律师费和会计师费用,不多，多的1000-3000多美元，少的300-400,或500-800美元。注册美国公司,并不需要注册资金到位，只需要申请者,填一份简单的申请表,并提供一个办公室的地址,电话。实际上，没有美国办公室,也可以。你可以租用别人的办公室地址。据查，有百多家公司,登记同一个办公室地址的。如果你不租用美国专门的办公室，花 500-2000美元,可以在美国办一家公司，其中,登记费、律师费、会计师费,1000余美元，开个帐号,存几百美元,在银行,就行了。只是你办了公司,不经营，也要缴纳规定的最低税额，各州不等，一般是:一年几百美元。

   要办美国投资移民，投资额得在100万美元（有的州,是50万美元）以上

   　　没有美国绿卡，可以在美国开公司,做生意。你可以申请L-1签证，即,公司转让签证。一般,注册一个美国公司，可以申办三至五个人的L-1签证，这种签证,可以多次往返。办这种美国签证，要找美国律师事务所，为你注册公司的美国律师,即可代为申请，费用为:每人1000至1500美元,不等。开始,付一半钱，办成了,再付另一半。前两年，L-1签证,比较好办。

   许多中国人,到美国去注册公司，并不真正去开展经营,主要是为了办几个人的L-1签证，公司主管,把自己的家人,弄到美国去，然后,改变身份。美国有许多这种“皮包”公司。后来,有一段时间，美国移民当局,对办L-1签证,审查得严一些了,还是比较好办，只要你请的律师能干，一般都能办成。非法移民较多的加州,难办一点，中部、南部一些州,比较好办。快的,一般二,三个月,就能办下来。开了公司，有了L-1签证，你就可以在签证有效期内,多次往返美国。如果你的公司在经营，有一定营业收入，容纳了规定的就业人数（一般为10人左右），你可以申请美国绿卡。

   　　许多中国人,在美国,去开个公司，并不拿钱过去经营，而是只图其名，有块外资公司的牌子，好在国内做生意。

   　　有这种情况。有的中国小公司的老板，在美国,去注册家公司，名片上,多了个美国公司的头衔,可以利用美国公司的牌子——做国内的生意。比如，用美国公司的牌子,搞合资、进口。美国,有的中资公司,卖“牌子”。国内有家啤酒厂，原来生意不景气。后来,老板灵机一动，跑了一趟美国，找到一个中国通，此人,在美国注册了一个名不见经传的啤酒商标，他将这个啤酒商标,卖给那家中国的啤酒厂，每年,坐收80万元。中国老板,有了外国啤酒商标，就回国,宣传“中国美国合作”，酒,还是原来那酒，“中国美国合作”，广告，啤酒一下好销了，每年,赚取上千万元的利润。

   　　有不少中资美国公司,在美国开展了实实在在的经营，卓有成效。他们从事物业开发、商品贸易、旅游服务、餐饮服务等。

   　

   目前,在美国哪些生意,适合中国人去做呢？

   　　

   美国市场竞争激烈，游戏规则健全，没有多少空子可钻，要巧取豪夺,当暴发户,几乎没门。中国人靠聪明勤奋，能在美国那样激烈的竞争中,争得一席之地。中国人,去美国,做生意,开公司，资本都不大，不可能做很大的项目，多是从小打小搞起家，慢慢发展。房地产业在美国有机会的。美国目前,房地产业,处于低谷刚刚开始回升的阶段，有的地方,房价比北京、上海便宜，美国的房租贵。做这方面的生意,有赚头。德州,有位留学生，先靠打工,挣了几万美元,以分期付款方式,买了一幢旧公寓，稍加整修,租给学生，赚了一笔;租下一大片房子，再分租给学生，一年,赚几十万美元。美国的计算机软件行业机会很多，只要有技术，就能找到事做。贸易方面,初入者难于介入。餐饮和旅游服务，在华人圈,竞争也非常激烈。当然，机会还是有的。
