    (一)預留公司名稱(為可選項)、提交公司章程

    在美註冊公司可選擇任何符合法律規定的公司名稱,包括集團、公司、大學、學院、研究院、協會、商店、工廠等,但該名稱應未被其它公司註冊。經登記註冊後,公司即成為政府批准的、合法登記的美國公司。

    企業在註冊公司前,可向紐約州州務卿辦公室公司處(Division of Corporations, Secretary of the State Department)申請預留公司名稱(為可選項),提交預留公司名稱申請(Application for Reservation of Name)。申請費20美元,預留公司名稱為60天,其後可延期2次共60天,每次延期費用也為20美元。

    企業成立者必須向紐約州州務卿辦公室公司處遞交公司章程,相關表格可在州務卿官方網站下載,也可在當地法律材料商店購買。申請處理時間約兩週,需繳納費用275美元,其中200美元為申請費用(filing fee),75美元為加急服務費(expedited sevice fee)。如額外繳納150美元可在兩小時內完成審批,75美元可在當天完成,25美元則在24小時內完成。企業成立獲批後,將​​由州務卿發放資格證書(Certificate of Qualification)

    值得注意的是,由於擬註冊企業所在行業不同,往往還需要申請符合美國聯邦、地方州政府規定的許可(permit),例如:環境保護、建築施工、農產品加工檢驗檢疫等。由於各州、各行業要求迥異,難以一一列舉,建議洽詢州和當地政府商務主管部門或諮詢專業律師意見。

    (二)申請雇主識別號碼(Apply for federal identification number EIN )

    為便於稅收徵繳和識別雇主,企業帳戶的擁有者需申請雇主識別號碼。此申請免費。申請人可登陸美國國內收入局(Internal Revenue Service, IRS)獲取SS-4表格,也可電話申請並從IRS網站[4]下載表格填寫。

    根據反饋方式不同,處理SS-4表格所需時間也不一樣。互聯網在線或電話申請(1-800-829-4933)可獲得即時辦理;傳真需要4個工作日;而郵寄則需4週時間辦理。

    (三)註冊州銷售稅(Register to collect State sales tax)

    凡銷售“有形個人財產(貨物)及其他特定產品和特定服務”的公司,必須在紐約州開業經營之前至少20天,登陸紐約州稅務和財政廳網站[5](New York State Department of Taxation and Finance)選擇在線註冊銷售稅,或遞交DTF-17表格。此手續免需付費。

    (四)向州勞動廳進行雇主登記(Register as an employer with the Unemployment Insurance Division of the State Department of Labor )

    企業設立​​者必須​​向紐約州勞動廳[6](New York State Department of Labor)提交NYS-100表格,勞動廳將審核該公司是否符合紐約州失業保險法規定。如合規,州勞動廳將按季度向該公司發送預扣所得稅、申報工資等材料。

    公司雇主可登錄紐約州勞動廳網站在線註冊,或填寫並郵寄NYS-100表格。在進行勞動廳雇主登記之前,該公司必須完成第二個步驟,即,在美聯邦稅務局獲取聯邦雇主識別號碼。此項登記免費。

    (五)安排職工賠償保險(Arrange for workers’ compensation insurance and disability insurance)

    作為雇主,公司設立者​​必須​​在法定私人保險公司等為職工購買僱員賠償保險以及傷殘保險。該公司的聯邦雇主識別號(EIN)是勞工賠償委員會溝通的主要依據。在為僱員辦理賠償或傷殘保險時,該公司必須將EIN號碼遞交給承保單位。此項手續免費。

    (六)公告並提交公告證明(Arrange for publication and submit certificate and affidavits of publication)

    新建的有限責任公司(LLC)必須在成立後120天內發布兩次公告宣佈公司成立事宜。為此,新公司應向紐約州州務卿辦公室公司處提交兩份公告書面陳述和一份公告證明書。有限責任公司發佈公告證明書費用為50美元,公告費用各縣(市、郡)不同,一般在350美元至1500美元之間不等。

    聘請律師或專業諮詢公司幫助設立企業

    美國各州政府對於外國投資者在本地新設企業的法律法規各不相同,因此,對於缺乏在美運營經驗的外國投資者,很多州負責投資事務的政府部門會建議他們在新設企業時聘請當地專業律師。

    在美國註冊公司程序透明,非專業人士很難掌握相關全部法律,特別是各州立法繁多,在環境、勞工、稅收等各個領域,各州都制定了相應法律法規,一旦違反規定,即可能面臨罰款、禁止設立等處罰措施。因此,在設立公司之前,通過聘請會計師、公司事務律師,尋求專業諮詢和幫助,將有助於企業順利​​註冊和儘早開始運營。
