1. 有關註冊資本額和出資期限的規定

   1）根據中國國家的有關法規、規章，對外國投資者在境內投資某些行業的最低註冊資本,有如下規定：

   （1）外商投資商業（分銷）企業：從事批發的註冊資本不低於50萬元人民幣；從事零售業的註冊資本不低於30萬元人民幣；

   （2）外商投資舉辦投資性公司：註冊資本不低於3000萬美元；

   （3）外商投資股份有限公司：註冊資本不低於3000萬元人民幣；

   （4）外商投資研究開發中心：註冊資本不低於140萬美元；

   （5）國際貨運代理合營企業：註冊資本不低於100萬美元；

   （6）外商投資融資性租賃企業：註冊資本不低於1000萬美元；

   （7）外商投資旅行社：註冊資本不低於250萬元人民幣；

   （8）外商投資醫療機構：註冊資本不低於2000萬元人民幣；

   （9）外商投資人才中介機構：註冊資本不低於30萬美元；

   （10）外商投資進出口商品檢驗鑑定機構：註冊資本不低於35萬美元；

   （11）外商投資圖書、報紙、期刊分銷企業：註冊資本不低於3000萬元人民幣；

   （12）外商投資出版物、包裝裝潢印刷品企業：註冊資本不低於1000萬元人民幣；投資其他印刷品企業：註冊資本不低於500萬元人民幣。

   2）對註冊資本與投資總額間比例的規定

   根據國家工商行政管理局《關於中外合資經營企業註冊資本與投資總額比例的暫行規定》，對外商投資企業的註冊資本與投資總額的比例有如下規定：

   （1）投資總額在300萬美元以下（含300萬美元）的，註冊資本至少應佔投資總額的7/10。

   （2）投資總額在300萬美元以上,至1000萬美元（含1000萬美元）的，其註冊資本至少應佔投資總額的1/2，其中投資總額在420萬美元以下的，註冊資本不得低於210萬美元。

   （3）投資總額在1000萬美元以上,至3000萬美元（含3000萬美元）的，其註冊資本至少應佔投資總額的2/5，其中投資總額在1250萬美元以下的，註冊資本不得低於500萬美元。

   （4）投資總額在3000 萬美元以上，其註冊資本至少應佔投資總額的1/3，其中,投資總額在3600萬美元以下的，註冊資本不得低於1200萬美元。

   （5）如果外商投資企業遇到特殊情況,而不能按上述規定執行時，需向中國商務部提出申請報告，由商務部會同國家工商行政管理局批准。

   外商投資企業增加投資的，其追加的註冊資本與增加的投資額的比例，應按上述規定執行。

   外國投資者的投資比例在合資、合作的註冊資本中，一般不低於25%。

   3）出資期限的規定：

   （1）外商投資企業投資者在合同、章程中對註冊資本出資期限規定一次繳清的，應當從營業執照簽發之日起六個月內繳清；

   （2）合同、章程中規定分期繳付出資的，投資各方第一期出資不得低於各自認繳出資額的15%，並且應當在營業執照簽發之日起三個月內繳清；

   （3）註冊資本在50萬美元以下（含50萬美元）的，自營業執照簽發之日起一年內繳清；

   （4）註冊資本在50萬美元以上、100萬美元以下（含100萬美元）的，自營業執照簽發之日起一年半內繳清；

   （5）註冊資本在100萬美元以上、300萬美元以下（含300萬美元）的，自營業執照簽發之日起二年內繳清；

   （6）註冊資本在300萬美元以上、1000萬美元以下（含1000萬美元）的，自營業執照簽發之日起三年內繳清；

   （7）註冊資本在1000萬美元以上的，出資期限由審批機關根據實際情況審定。
